Constituent filed document

A statement is required that the constituent filed document is attached. The following are considered constituent filed documents:

The Articles of Incorporation (corporation, nonprofit corporation, cooperative or cooperative association), Articles of Association (limited partnership association), Articles of Organization (limited liability company), Certificate of Limited Partnership (limited partnership) or Statement of Registration (limited liability partnership or limited liability limited partnership).

Is this a public benefit corporation?

If you would like to amend to be a public benefit corporation, you can select “Yes” here. If you choose “Yes”, enter the purpose.

New entity name

If the name of the association is being changed, state the new name. The entity name of a cooperative association may include one of the following terms or abbreviations in the entity name, but is not required: "Cooperative", "Association", "Incorporated", "Company", "Limited", "Coop", "Ass'n", "Assn.", "Assoc.", "Inc.", "Co.", "Ltd.". If you are amending to a public benefit corporation, you may also include "Public Benefit Corporation", "Pub. Ben. Corp.", "P.B.C.", or "PBC" in your entity name.

Purpose

If you selected that you are a public benefit corporation, enter the purpose of the corporation here.

Delayed effective date (optional)

If you want the document to take effect immediately, leave “Yes” selected and the date field blank.

If you don’t want the document to become effective immediately, select “No” and enter the date and time (time is optional) that you want the document to become effective in the box. If only a date is entered into the box, then the document will become effective at 11:59 PM on that date. The effective date of filing can be delayed up to 90 days maximum. All filing dates and times are in Mountain Standard Time. [2]

Each individual causing the document to be filed is responsible for complying with the applicable statutes.
